Terms & Conditions (B2B) — Summary

These Terms set out how Mtech Interfab (V.K. Cloth Traders) supplies products and services to businesses. By placing an order, you confirm acceptance of these terms. This is a concise B2B version for our website; your sales contract or proforma may include additional details.

1. Orders & Acceptance

Orders are accepted only after we issue an order confirmation or proforma invoice. Prices on the website are indicative and subject to change. All orders should include product code, quantity, delivery address and GST/Tax details. Custom orders must be confirmed in writing.

2. Prices & Payment

Prices are exclusive of GST and other taxes unless stated. Shipping, packaging and insurance charges are extra unless agreed. Payment terms are as agreed in the proforma/invoice (advance, part advance, or credit terms). Late payments may attract interest or hold on further supplies. We accept bank transfers and other agreed payment modes. Goods remain our property until paid in full where applicable.

3. Delivery & Title

Delivery timelines are estimates and start from the date of dispatch notification. We use third-party carriers and are not liable for carrier delays. Risk in the goods passes to the buyer on dispatch (or as otherwise agreed). Title may pass on full payment.

4. Inspection, Rejection & Returns

Buyers must inspect goods on receipt. Shortages, visible damage or shipping claims should be reported within 48 hours. Quality/manufacturing claims must be lodged in writing within 7 days of receipt with supporting evidence. For verified manufacturing defects, we will repair, replace or credit the affected goods at our discretion. We do not accept returns for buyer’s change of mind. Custom or cut-to-order items are non-returnable unless defective.

5. Warranties & Liability

We warrant that products will conform to agreed specifications at the time of dispatch. This warranty is limited to replacement, repair or credit for defective goods. Except as expressly stated, all other warranties (express or implied) are excluded. Our aggregate liability for any claim will not exceed the value of the relevant invoice. We are not liable for indirect or consequential losses except where law requires otherwise.

6. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, strikes, shortages, transport disruptions, government actions). We will notify buyers and try to minimise impact.

7. Intellectual Property

Product designs, images and website content are our property. Reproduction requires prior written consent.

8. Confidentiality

Both parties agree to keep commercial and technical information shared during the relationship confidential, except where disclosure is required by law.

9. Governing Law & Disputes

These terms are governed by the laws of India. Any dispute shall be referred to the courts at Ludhiana (or another venue agreed in writing).

10. Changes

We may update these terms from time to time. Material changes will be communicated by posting the revised terms on our website or via email.
